1. General Business Terms

1.1. Ethix Healthcare operates as a WHO-GMP and ISO certified pharmaceutical manufacturer and distributor based in Solan, Himachal Pradesh, India.

1.2. All business transactions, franchise allocations, and manufacturing orders are governed under the applicable commercial and pharmaceutical regulations of India.

2. PCD Pharma Franchise & Monopoly Rights

2.1. Monopoly rights for a specific territory/district are granted solely upon written agreement and are subject to agreed minimum sales targets.

2.2. Franchise partners are strictly prohibited from selling or distributing Ethix Healthcare products outside their assigned geographical area without prior written approval.

2.3. Promotional materials (visual aids, sample catches, MR bags, glossaries) provided by Ethix Healthcare remain the intellectual property of the company and must be used exclusively for promoting Ethix Healthcare products.

3. Third-Party Manufacturing Orders

3.1. All third-party manufacturing requests require complete design, formula, and artwork sign-off from the buyer prior to production initiation.

3.2. Minimum Order Quantities (MOQs) for tablets, capsules, injectables, syrups, and liquids apply as agreed during order confirmation.

3.3. Standard lead times for production depend on batch sizing and raw material availability; estimated timelines will be communicated upon order placement.

4. Pricing, Payments & Invoicing

• All product prices are quoted in Indian Rupees (INR) unless specified otherwise.
• Applicable taxes, including GST, packaging charges, and transit freight, are extra unless explicitly stated in the proforma invoice.
• Payment terms require advance payment or as mutually agreed in writing prior to dispatch of consignment.
• Prices are subject to revision based on raw material market shifts, with advance notification provided to active business partners.

5. Shipping, Delivery & Transit Risk

5.1. Ethix Healthcare dispatches orders via approved nationwide transport services to ensure timely delivery.

5.2. Goods are insured and transported at the risk of the purchaser unless insurance cover is explicitly arranged and included in the billing.

5.3. Breakage or shortages during transit must be reported with proof within 48 hours of shipment arrival for claims processing.

6. Regulatory Compliance & Licensing

Distributors, franchise owners, and business partners must maintain valid Drug Licenses (DL) and GST Registration at all times while doing business with Ethix Healthcare. Copies of updated licenses must be submitted for official record-keeping.

7. Intellectual Property

All trademarks, brand names, product packaging designs, logos, and website content belonging to Ethix Healthcare and DR.ETHIX are protected by trademark laws. Unauthorized reproduction or misuse of these assets is prohibited.

8. Limitation of Liability & Governing Law

8.1. Ethix Healthcare is not liable for indirect, incidental, or consequential damages arising from delays or supply chain interruptions beyond reasonable control.

8.2. All disputes and legal matters are subject to the exclusive jurisdiction of the courts in Solan, Himachal Pradesh, India.
